Decisions adopted by the Financial Supervisory Authority Board - 03.07.2019

Bucharest, 3^rd of July 2019 – At today's meeting, the Board of Financial Supervisory Authority (ASF) approved measures regarding the operating framework of supervised non-bank financial markets - insurance, capital market and private pensions, including:

A)  Regulation

The draft of the Norm for the Application of the ESMA Guidelines on Insignificant Reference Indicators of the Reference Indicators Regulation to be published on the site for public consultation (The project will be published on www.asfromania.ro for public consultation for 10 days);

The draft of the Instruction for modifying the Instruction of the Financial Supervisory Authority no. 2/2016 regarding the preparation and submission of half-yearly accounting by entities authorized, regulated and supervised by the Financial Supervision Authority - Financial Instruments and Investments Sector (The project will be published on www.asfromania.ro, for public consultation, for 10 days) ;

The draft of the Norm for the Implementation of the Accounting Reporting System on 30^th of June 2019 of Insurance Companies (The project will be published on www.asfromania.ro for public consultation for 10 days).

B)  Supervision

The results of the periodic inspection at Exim Insurance and Reinsurance Company SA;

The results of the unexpected control at VP Investment - Insurance Broker S.R.L., as well as the withdrawal, upon request, of the company's authorization.

C)  Authorization

Appointment of Mr. Ioan Vreme as member of the Generali Management Board of Private Pension Funds Administration S.A.;

Amendments to the Articles of Association of the company Contacs Broker de Asigurare S.R.L. (assignment of shares, new significant associates, structure of associates, appointment of administrator, modification of some articles);

Amendments to the Articles of Association of the company Pintilie Broker Insurance Act of S.R.L. (assignment of shares, associate structure and associate data change);

Amendment to the Articles of Association of Gothaer Asigurări - Reasigurări SA, as a result of the share capital increase with the amount of 1,947,500 lei, from the amount of 80,894,230 lei to the value of 82,841,730 lei.

Issuance of the bond registration certificate issued by NE Property B.V. Amsterdam for admission to trading on BSE;

The proportionate prospectus related to the issuance of new shares in order to increase the share capital of Zentiva S.A. Bucharest;

Extension of the object of activity of SSIF BRK Financial Group S.A.;

Amendments to the documents of the Amundi Integro FDI Investment Fund, managed by Amundi Asset Management SAI S.A.;

Amendments to the documents of the Open Fund for FDI Amundi Stabilo, managed by Amundi Asset Management SAI S.A.

D)  Various

The report on the evolution of the Romanian capital market in the first quarter of 2019.
