Decisions adopted by the Financial Supervisory Authority Board - 05.06.2019

Bucharest, 5^th of June 2019 – At today's meeting, the Board of Financial Supervisory Authority (ASF) approved measures regarding the operating framework of supervised non-bank financial markets - insurance, capital market and private pensions, including:

A) Regulation

Regulation on the settlement of requirements relating to the rovision of investment services and activities pursuant to Law no. 126/2018 regarding the financial instruments’ markets (the Regulation will be submitted for publication to the Official Gazette of Romania);

The draft of the Norm for the modification of the Norm of the Financial Supervisory Authority no. 34/2016 on the half-yearly accounting system in the field of private pensions (The project will be published on www.asfromania.ro, for public consultation, for 10 days);

Amending and completing Regulation no. 16/2014 regarding the revenues of the Financial Supervisory Authority (Regulation will be published on www.asfromania.ro, for public consultation, for 10 days).

B) Authorization

Appointment of Mrs. Rusu Gabriela - Camelia for a new mandate as Member of the Board of Directors of Uniqa Asigurări de Viaţă S.A .;

Appointment of Mrs. Varvaroi Lenuţa to the position of executive director of the society Casa Lichidări Daune - Broker de Asigurare S.R.L.;

Appointment of Mr. Ivaşcu Ion as Administrator of Ivas Broker de Asigurare S.R.L .;

Appointment of Mr. Nae Sorin-Petre as a member of the Board of Directors of SAI Certinvest S.A .;

Appointment of Mr. Claudiu Petrescu as a member of the Board of Directors of SAI Star Asset Management S.A .;

Appointment of Mrs. Silvia - Viorica Sîrb as a member of the board of directors of Certinvest Pensii Societatea de Administrare a Fondurilor de Pensii Facultative S.A .;

Appointment of Mrs. Rodica Jugănaru as the person in charge of the internal control structure of Certinvest Pensii Societatea de Administrare a Fondurilor de Pensii Facultative S.A .;

Changes in the documents of the Open Investment Fund STK Europe, managed by STK Financial Investment Management Company S.A., in order to align with the provisions of the ASF Regulation no. 2/2018;

The share prospectus related to the issue of new shares in order to increase the share capital of Prodlacta S.A. Brasov;

Issuance of the Share Registration Certificate issued by Ihunt Technology Import Export SA Ploiesti for admission to trading on the Alternative Trading System administered by BSE;

Modification the Regulation of Organization and Operation of NN Pensions Management Company of a Private Administered Pension Fund S.A.;

Modification the Management Agreement for the Private Administered Pension Fund administered by Generali Management Company of Private Pension Funds S.A.;

Modification of the Prospectus of the Private Pension Scheme for the Private Administered Pension Fund administered by Generali Management Company of Private Pension Funds S.A.;

Modification of the Prospectus of the Optional Pension Scheme for the Raiffeisen Accumulation Optional Pension Fund managed by SAI Raiffeisen Asset Management S.A.
