Decisions adopted by the Financial Supervisory Authority Board- 13.03.2019

Bucharest, March 13th, 2019 – At today's meeting, the Financial Supervisory Authority (ASF) Board has approved measures on the operating framework of supervised non-bank financial markets - insurance, capital market and private pensions, including:

A) Regulation

The Regulation Draft for the conclusion of the financial year 2018 for insurance entities (the draft will be submitted, for publication, to the Official Gazette of Romania);

The Regulation Draft for amending and supplementing the Regulation of the Financial Supervisory Authority no. 4/2013 on supporting stock related to certificates of deposit (the draft will be published on www.asfromania.ro, for public consultation, for 5 days).

B) Monitoring

The results of the periodical control performed at Ergo Asigurări de Viață S.A.

C) Authorization

The appointment of Mr. Gerhard Walter Weidenfeld as a member of the Board of Directors of Gothaer Asigurări – Reasigurări S.A company;

The appointment of Mr Omer Tetik, Mr Costel Lionăchescu and Mr Paul George Prodan as members of the Board of Directors of SSIF BT Capital Partners (new term);

The appointment of Mr. Piotr Franciszek Klinowski as a member of the Board of Directors of SAI Vanguard Asset Management S.A.;

The appointment of Ms Alina Steluţa Pică as a member of the Board of Directors of SAI Erste Asset Management S.A.;

The changes in the organization and functioning of SAI Certinvest S.A. as a result of the change in the composition of the management, as well as the reduction of the share capital from 13,024,365.86 lei to 3,988,322.56 lei;

The increase of the share capital of Asimed Reinsurance Asimed S.A. from 14,885,000 lei to 15,285,000 lei;

Registration of SAI Sira S.A. as an AIFM (Alternative Investment Fund Manager) and enrolling in the Public Register of ASF;

The issuance of Certificates for registration of the share capital increase of Banca Transilvania S.A. Cluj-Napoca and the reduction of the number of bonds issued by it.

D) Miscellaneous

The Activity Report of the Institute of Financial Studies (ISF) for 2018.
