Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 26 November 2025 – At today's meeting, the Financial Supervisory Authority (ASF) Council adopted measures regarding the functioning of supervised non-bank financial markets – insurance, capital markets, and private pensions, as follows:

A)  Regulation

Memorandum on the designation of competent national authorities and the establishment of a single national contact point for the implementation of Regulation (EU) No. 2024/1689 laying down harmonized rules on artificial intelligence.

B)  Authorisation

Approval of the request by the financial investment services company Share Invest S.A. to authorise Mrs. Shahar – Georgescu Mihaela as Manager of the company;

Approval of the application of SSIF BRK Financial Group S.A.to authorise Mr. Gherguș Nicolae as a member of the company's Board of Directors;

Approval of Mr. Gabriel Marcu for a new term as a member of the Board of Directors of Pool-ul de Asigurare Împotriva Dezastrelor Naturale S.A.;

Approval of Mrs. Adriana Mihaela Matache for a new term as Deputy General Manager of Allianz - Țiriac Asigurări S.A.;

Approval of the suspension of the issue and redemption of fund units of the Open-Ended Investment Fund Patria Euro Obligațiuni, managed by Patria Asset Management S.A., following the decision of the Board of Directors of the fund's liquidation company;

Approval of the withdrawal from trading and delisting from the ASF register of the shares issued by Upet S.A. Târgoviște, given the completion of the procedure provided for in Art. 115 of ASF Regulation No. 5/2018, as subsequently amended and supplemented;

Approval of the withdrawal from trading and removal from the ASF register of the shares issued by Mercur S.A. Craiova, given the completion of the procedure provided for in Article 115 of ASF Regulation No. 5/2018, as subsequently amended and supplemented;

Approval of the withdrawal from trading and removal from the ASF register of the shares issued by Univers S.A. Râmnicu Vâlcea, given the completion of the procedure provided for in Art. 115 of ASF Regulation No. 5/2018, as subsequently amended and supplemented;

Approval of amendments to the Statute of the Romanian Motor Insurers' Bureau;

Approval of amendments to the Articles of Incorporation of Millenium Insurance Broker (MIB) Broker de Asigurare-Reasigurare S.A. (removal of identification details of directors);

Approval of amendments to the Articles of Incorporation of Bavaria Broker de Asigurare S.R.L. (amendment of the identification data of a partner and the director, the structure of the partners as a result of the transfer of shares, the duration of the company's operation and the term of office of the director, the content of the preamble, the waiver and completion of the content of existing articles);

Approval of amendments to the Articles of Incorporation of the brokerage company Alpha Insurance Brokers-Societate de Brokeraj în Asigurare - Reasigurare S.R.L. (change of name of the brokerage company);

Approval, upon request, of the withdrawal of the operating license of the brokerage company MAI Broker de Asigurare - Reasigurare S.R.L., as well as its removal from Section I and transfer to Section II of the Register of Principal Intermediaries.
