The decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 16 July 2025 – At today's meeting, the Financial Supervisory Authority (ASF) adopted measures regarding the functioning of supervised non-bank financial markets – insurance, capital market and private pensions, as follows:

A)  Authorization

Approval of Mr. Mesut Yetișkul for a new term as member of the Board of Directors of Signal Iduna Asigurări S.A.;

Approval of Mr. Paul Mitroi for a new term as member of the Board of Directors of Garanta Asigurări S.A.;

Approval of Mrs. Lupaș-Țicu Gabriela as General Manager of NN Asigurări S.A.;

Approval of the application for the authorisation of Mrs. Adriana Urszula Maciolek as member of the Board of Directors of Metropolitan Life Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Approval of the amendment to the Statute of the Investor Compensation Fund;

Approval of the request of INNO Investments S.A.I. S.A. for the authorisation and registration in the ASF Public Register as an AIFM;

Approval of the announcement regarding the withdrawal of the shareholders of Transilvania Leasing și Credit IFN S.A., in accordance with Art. 44 of Law No. 24/2017, republished, as subsequently amended and supplemented;

Approval of the acquisition project presented by Delfin S.a.r.l. with a view to acquiring an indirect qualifying holding in Generali România Asigurare Reasigurare S.A., following the involuntary exceeding of the indirect holding;

Approval of the amendments to the Articles of Incorporation of Renomia Insurance Reinsurance Broker S.R.L. (change of registered office, change of the Company's term of operation and change of the term of office of the director);

Approval of amendments to the Articles of Incorporation of Wilson Insurance Broker S.R.L. (amendment of the preamble and Articles 1.4, 3.5 and 6.1 of the Articles of Incorporation).
