Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 11 June 2025 – At today's meeting, the Financial Supervisory Authority (ASF) Council adopted measures regarding the functioning of supervised non-bank financial markets – insurance, capital market, and private pensions, as follows:

A)  Regulation

Draft Rule amending Rule No. 4/2024 of the Financial Supervisory Authority on the amendment and supplementation of Rule No. 39/2015 of the Financial Supervisory Authority approving the accounting regulations in accordance with International Financial Reporting Standards applicable to entities authorized, regulated, and supervised by the Financial Supervisory Authority in the financial instruments and investments sector, as well as the Investor Compensation Fund (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Regulation of the Financial Supervisory Authority on the prospectus for optional pension schemes (the draft will be published on www.asfromania.ro for public consultation for 10 days);

ESMA notification regarding the intention to apply the provisions of the ESMA Guidelines on sustainability-related disclosures (ESMA32-992851010-1815).

B)  Authorisation

Approval of the EU prospectus for growth prepared with a view to increasing the share capital of IOR S.A. București;

Approval of the portfolio transfer project to be carried out in the context of the merger by absorption between Allianz – Țiriac Asigurări S.A. as the absorbing company and Allianz-Țiriac Unit Asigurări S.A. as the absorbed company;

Approval of the amendments to the Articles of Incorporation of Asigest Broker de Asigurare-Reasigurare S.A. (new term of office for the director and appointment of new members to the Board of Directors);

Approval of the amendment to the Articles of Incorporation of Asigest Broker de Asigurare-Reasigurare S.A. (new financial auditor mandate);

Approval of the amendments to the Articles of Incorporation of MED Life Broker de Asigurare și Reasigurare S.R.L.;

Approval of amendments to the Articles of Incorporation of Inchcape Broker de Asigurare S.R.L. (new term of office for the director and change of identification details of the sole shareholder);

Approval of the amendment to the Articles of Incorporation of Aust Insurance Broker de Asigurare S.R.L. (appointment of a new director);

Approval of the request for authorization to amend the individual act of accession to the Voluntary Pension Fund Esențial, managed by Carpathia Pensii - Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for authorization to amend the individual act of accession to the Voluntary Pension Fund Raiffeisen Acumulare, managed by S.A.I. Raiffeisen Asset Management S.A.;

Approval of the request for authorisation to amend the Individual Act of Accession to the Voluntary Pension Fund AZT Moderato, managed by Allianz-Țiriac Pensii Private Societate de Administrare a Fondurilor de Pensii Private S.A.

Approval of the request for authorisation to amend the Individual Act of Accession to the Voluntary Pension Fund AZT Vivace, managed by Allianz-Țiriac Pensii Private Societate de Administrare a Fondurilor de Pensii Private S.A.
