Bucharest, 10 October 2024 – The Financial Supervisory Authority (ASF) continuously and rigorously monitors issuers’ compliance with the obligations imposed by the specific capital market legislation regarding the appropriate disclosure to investors/shareholders, through the use of established distribution channels (market operator’s website, ASF website, own website), which is a sine qua non condition for being an issuer. In the event of deviation from this rule, ASF will always firmly apply the necessary measures.
An orderly market can only function if investors (actual and potential) are properly informed about the issuer’s situation, in compliance with the requirements of European and national legislation and the operating rules of the trading venue where the shares are traded.
In view of the above, the Financial Supervisory Authority has requested the Bucharest Stock Exchange to suspend the shares of PERSEUS FINTECH S.A. from trading, starting today, until the date when the company ensures that investors are properly informed by the company, taking into account the operating rules of the multilateral trading system (MTF), in which the issuer’s shares are traded, and the responsibilities and obligations of the operator of the trading venue.
ASF has assessed the issuer PERSEUS FINTECH S.A. and found that it has a conduct that may affect the interests of investors, generated by the lack of transparency of corporate events. The Authority asked the issuer to inform them of the manner in which it intended to apply the relevant legal provisions in an interim dividend operation. The issuer failed to adequately inform investors and failed to comply with repeated requests made by ASF to this effect.
One of ASF’s objectives is to protect investors, so the Authority will act, in a similar manner, whenever there are situations where the legal provisions in force are not complied with and the conduct of an issuer affects the fundamental principles of transparency in such a way that the trading of shares would be detrimental to them.
