Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 7 February 2024 – At today's meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-bank financial markets - insurance, capital market and private pensions, as follows:

A)  Regulation

Draft Regulation amending Art. 4 para. (6) of the ASF Regulation No. 3/2013 for the authorisation and operation of central counterparties issued in accordance with the provisions of Regulation (EU) No. 648/2012 of the European Parliament and of the Council of 4 July 2012 on OTC derivatives, central counterparties and trade repositories, approved by the Decision of the Council of the Financial Supervisory Authority No. 28/2013 (the draft will be published on www.asfromania.ro for public consultation for 10 days).

B)  Authorisation

Approval of Mr. Mario Ferrero as member of the Board of Directors of Allianz Țiriac Asigurări S.A.;

Approval of Ms. Adriana-Angela Ghemeș as executive officer of Atlantic Broker Group Broker de Asigurare S.R.L.;

Approval of the application of Transilvania Investments Alliance S.A. to authorise the modification of the significant conditions following the appointment of Mr. Vasile-Cosmin Turcu and Mr. Horia-Cătălin Bozgan as members of the Supervisory Board of the company;

Approval of the application of S.A.I. Swiss Capital Asset Management S.A. to authorise the change in the organisation and functioning of the company as a result of the change in the executive management structure by appointing Mr. Robert-Iulian Dănilă as director of the company;

Approval of the applicationt for authorisation of Mr. Octavian - Marius Rațiu as member of the Board of Directors of Carpathia Pensii - Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application for authorisation of Mr. Ibrahim Tankut Eren as member of the Board of Directors of Carpathia Pensii - Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application of the market operator Bursa de Valori București S.A. for authorisation of a new regulated market - derivatives market on financial and other types of underlying assets and its registration in the ASF Register;

Approval of the application of Bursa de Valori București S.A. to authorize the modification of the membership of the Board of Directors of the market operator according to the OGMS decision of 22.11.2023;

Approval of the prospectus for the primary public offering of bonds issued by Impact Developer & Contractor S.A. Bucharest, for admission to trading on the regulated market administered by Bursa de Valori București S.A.;

Approval of amendments to the Articles of Incorporation of L.M.C. Asig Broker de Asigurare S.R.L.  (appointment as director);

Approval of the application of Compania de Asigurări-Reasigurări Exim România (CARE-România) S.A. to extend the audit period of the company by the financial auditor Deloitte Audit S.R.L.;

Approval of the application for the authorisation to amend the Articles of Incorporation of NN Pensii Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.
