Press release - sanctioning decisions adopted by the a.s.f. board in february 2022

Bucharest, 3 March 2022 - In February 2022, the Board of the Financial Supervisory Authority adopted several decisions sanctioning entities/persons operating in the non-banking financial market for violation of some provisions of the relevant legislation.

 

Capital market

Altur S.A. - Sanctioning with a fine in the amount of 11,100 lei of Mr. Gheorghe Nițu Rizea, in his capacity as Chairman of the Board of Directors of the company, for failure to comply with the obligation to properly inform investors regarding the financial statements for the financial year 2020.

Unirea Shopping Center S.A. - Sanctioning with a fine of 23,900 lei of Mr. Adamescu Bogdan Alexandru, as Chairman of the Board of Directors of the company, for failure to comply with the obligations to provide adequate information to investors in relation to the disputes in which the company is involved.

Compania Hotelieră Intercontinental Romania S.A. - Sanctioning with a fine of 4,500 lei of Mr. Bogdan Antonescu, as member of the Board of Directors of the company, for failure to comply with the obligations to provide adequate information to investors regarding changes in the management structure of the company. Sanctioning with a fine in the amount of 25,000 lei of Mr. Adamescu Bogdan Alexandru, as Chairman of the Board of Directors and legal representative of the company for failure to observe the rights of shareholders in relation to the preparation of a supplementary audit report.

 

Other types of measures

Compania Hotelieră Intercontinental Romania S.A. The Board of Directors of the company is obliged to take, within 14 days from the date of the decision, the necessary steps to conclude a contract with a financial auditor/audit firm for the preparation of the supplementary audit report requested by the shareholder SIF Banat Crișana S.A. holding more than 5% of the total voting rights.
