Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 26 January 2022 – During today's meeting, the Board of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-bank financial markets - insurance, capital market and private pensions, as follows:

A)   Regulation

Regulation amending A.S.F. Regulation no. 5/2018 on issuers of financial instruments and market operations (the regulation will be sent for publication to the Official Gazette of Romania), as well as the draft regulation amending Art. 73 para. (1) letter c) of the A.S.F. Regulation no. 5/2018 on issuers of financial instruments and market operations (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Rule for the application of the ESMA Guideline on market data obligations under MiFID II/MiFIR (the rule will be sent for publication to the Official Journal of Romania);

Draft Rule for amending and supplementing the Financial Supervisory Authority's Rule no. 27/2017 on the use of the net personal assets of the participant in a privately administered pension fund (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Rule for amending the Financial Supervision Authority's Rule no. 28/2017 on the use of the net personal assets of the participant in a voluntary pension fund (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Rule amending and supplementing Rule no. 16/2010 on the prospectus of the voluntary pension scheme, approved by the Decision of the Private Pension Supervisory Commission no. 27/2010 (the draft will be published on www.asfromania.ro for public consultation for 30 days).

B)   Authorization

Authorization of Mrs. Sîrbu Mihaela as a member of the Board of Directors of SSIF Tradeville S.A.;

Authorisation of Mrs. Nicolae Elena and Mr. Tudoran Petrică and Mr. Simulescu Mihail Valentin as members of the Board of Directors of SSIF Estinvest S.A., following the renewal of their mandates;

Authorization of Mr. Adrian Tod-Răileanu as a member of the Board of Directors of S.A.I. Sira S.A.;

Authorisation of Mr. Bartholomeus Odilia Petrus Frijns as a member of the Board of Directors of NN Pensii Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Authorisation of Mrs. Andreea-Marina Pipernea as a member of the Board of Directors of NN Pensii Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Application of the exception to the reporting obligation under Article 9 para. (1) of Regulation (EU) no. 648/2012 (EMIR) for OTC derivative contracts concluded intra-group by Skanska Construction Romania S.R.L. with Skanska Financial Services AB;

Approval of the withdrawal from trading and delisting from A.S.F. of the shares issued by Napochim S.A. Cluj Napoca, in view of the completion of the procedure provided for in Article 115 of A.S.F. Regulation no. 5/2018, as amended and supplemented;

Approval of the procurement draft presented by Signal Iduna Asigurare Reasigurare S.A. for the acquisition of a direct qualifying holding in the share capital of Ergo Asigurări de Viață S.A.;

Approval of the amendment to Article 33 of the Articles of Incorporation of Raiffeisen Broker de Asigurare-Reasurance S.R.L. (appointment of financial auditor);

Approval of the request for approval of the amendment of the management contract for the Stabil Voluntary Pension Fund, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for prior approval of the amendment of the Prospectus of the voluntary pension scheme for the Stabil Voluntary Pension Fund, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for final approval of the amendment to the Prospectus of the voluntary pension scheme for the BRD Medio Voluntary Pension Fund, managed by BRD Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application of Franklin Templeton International Services S.a.r.l. application for the authorisation of Fondul Proprietatea S.A. as a closed-end, diversified Alternative Investment Fund for retail investors (AIFs) and its registration in the A.S.F. Register as such.
