Deciziile adoptate de Consiliul Autorității de Supraveghere Financiară

Bucharest, 5 November 2025 – During today's meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures regarding the functioning of supervised non-bank financial markets – insurance, capital markets, and private pensions, as follows:

A)  Authorisation

Approval of the application by SSIF BRK Financial Group S.A. to authorise Mr. Dumitrescu Ovidiu - George as General Manager of the company;

Approval of the application to authorise Mr. Ulrich Robert Mündlein as a member of the Board of Directors of NN Pensii Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Approval of the application submitted by S.A.I. Raiffeisen Asset Management S.A. regarding the approval of the share capital change, authorisation of the change in the company's organisation and operation following the share capital increase, and authorisation of the amendment to the company's Articles of Incorporation;

Approval of the application of Transilvania Investments Alliance S.A. to authorise the changes in the company's organisation and operation following the closure of the company's secondary office and the change in the significant conditions that formed the basis for the company's authorisation as a result of changes in the Articles of Incorporation;

Approval of the application of Infinity Capital Investments S.A. to authorise the amendment of its operating license following changes to the company's Articles of Incorporation;

Approval of the allocation keys for assets and liabilities, income and expenses that cannot be directly attributed to general insurance activities or life insurance activities at Asigurarea Românească - Asirom Vienna Insurance Group S.A.;

Approval of amendments to the Articles of Incorporation of Otto Broker de Asigurare S.R.L. (approval of significant direct/indirect shareholder, duration of the company's operation, duration of the director's mandate);

Approval of the request for approval of the amendment to the Management Agreement for the Voluntary Pension Fund Stable, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application for approval of the amendment to the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund Stable, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application for the authorisation to amend the Investment Policy Statement for the Voluntary Pension Fund Stable, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application for approval of the amendment to the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund Raiffeisen Acumulare, managed by S.A.I. Raiffeisen Asset Management S.A.;

Approval of the application for the authorisation to amend the Investment Policy Statement for the Voluntary Pension Fund Raiffeisen Acumulare, managed by S.A.I. Raiffeisen Asset Management S.A.;

Approval of the application for the authorisation to amend the Individual Act of Accession to the Voluntary Pension Fund BCR Plus, managed by BCR Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.
