Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 2 April 2025 – At today's meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-banking financial markets - insurance, capital market and private pensions, as follows:

A) Regulation

Regulation on the temporary non-application of the quota provided for in point 3 of Annex no. 2 of the Regulation of the Financial Supervisory Authority no. 16/2014 on the revenues of the Financial Supervisory Authority (the regulation will be submitted for publication to the Official Journal of Romania);

Notification to the European Supervisory Authorities ESMA and EIOPA on the compliance of ASF with the provisions of the Joint EBA/ESMA/EIOPA Guidelines on the system established by the European Supervisory Authorities for the exchange of information relevant for the assessment of the suitability of persons with qualifying holdings, members of the management body and persons holding key positions in financial institutions and financial market participants carried out by the competent authorities;

ESMA's notification of ASF's intention to apply the provisions of the Guidance on stress testing scenarios under the MMF Regulation (ESMA 50-43599798-12301 Guidelines).

B) Authorization

Approval of Mr. Mihail Tecău for a new mandate as Member of the Board of Directors of Omniasig Vienna Insurance Group S.A.;

Approval of Mr. Marian-Ionel Bacheș for a new mandate as General Manager of Garanta Asigurări S.A.;

Approval of the request of BT Asset Management S.A.I. S.A. to authorize the amendments to the documents of the open-end investment funds: BT Obligațiuni, BT Euro Obligațiuni, BT Index Romania-Rotx and BT Technology;

Approval of the withdrawal from trading and removal from ASF's records of the shares issued by the company Industria Sârmei Câmpia Turzii S.A., in view of the finalization of the procedure provided for in Article 115 of ASF Regulation no. 5/2018, as amended and supplemented;

Approval of amendments to the Articles of Incorporation of Risk Control Insurance and Reinsurance Broker S.R.L.;

Approval of amendments to the Articles of Incorporation of Netgroup Insurance Reinsurance Broker S.R.L. (change in the structure of shareholders and approval of the new significant shareholder as a result of the transfer of shares, appointment of a new director and change in the company's duration of operation);

Approval of amendments to the Articles of Incorporation of Mercedes - Benz Insurance Broker S.R.L. (introduction of a new article concerning the appointment of a financial auditor and amendment of an article due to the new identification data of the director);

Approval of amendments to the Articles of Incorporation of Inchape Broker de Asigurare S.R.L. (change of registered office, appointment of a new director, amendment of the contents and addition of new articles);

Approval of amendments to the Articles of Incorporation of Holfin Insurance Reinsurance Broker S.A.  (change of legal form, appointment of directors);

Approval of amendments to the Articles of Incorporation of Energo Broker-Broker de Asigurare S.R.L.;

Approval, upon request, of the withdrawal of the operating authorization of the brokerage company Asiprof Consultanță Asigurări Broker de Asigurare - Reasigurare S.R.L., as well as its removal from Section I and its transfer to Section II of the Register of Principal Intermediaries.
