Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 19 June 2024 – During today’s meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-banking financial markets - insurance, capital market and private pensions, as follows:

A) Regulation

Approval with amendments of the proposed amendments and additions to the Central Depository Code, approved at the meeting of the Board of Directors of the Central Depository held on 20.11.2023 and 23.04.2024, with subsequent amendments and additions;

The Government Emergency Ordinance Draft amending and supplementing some normative acts, as well as establishing measures to prevent and combat advertising and aggressive communication techniques practiced by entities that are not registered in the Financial Supervisory Authority Register, following the proposals and comments submitted during the inter-institutional approval process.

B) Authorisation

Approval of the application of Bursa de Valori București S.A. for the authorisation of Mr. Raț Răzvan Legian as member of the Board of Directors;

Approval of Mr. Dragoș-Marius Călin for a new mandate as Chairman of the Board of Directors of Grawe Romania Asigurare S.A.;

Approval of the application of the financial investment services company Goldring S.A. to authorize Mr. Sabău Vasile Cristian as General Manager, following the granting of a new mandate in this position;

Approval of the Base Prospectus for the Structured Products Issuance Program of SSIF BRK Financial Group S.A. Cluj Napoca;

Approval of the amendment to the Articles of Incorporation of R.C.G. Broker de Asigurare S.R.L. (new mandate of the censor);

Approval of the authorisation to amend the Investment Policy Statement for the Voluntary Pension Fund Esențial, managed by Carpathia Pensii - Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application for prior approval of the amendment of the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund Esențial, managed by Carpathia Pensii - Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the application for authorisation to amend the Investment Policy Statement for the Voluntary Pension Fund NN Activ, managed by NN Asigurări de Viață S.A.;

Approval of the application for the final approval of the amendment to the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund NN Activ, managed by NN Asigurări de Viață S.A.;

Approval of the application for the authorisation to amend the Investment Policy Statement for the Voluntary Pension Fund NN Optim, managed by NN Asigurări de Viață S.A.;

Approval of the application for the final approval of the amendment to the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund NN Optim, managed by NN Asigurări de Viață S.A.
