Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 9 August 2023 - At today's meeting, the Financial Supervisory Authority (FSA) Council adopted measures on the functioning of the supervised non-bank financial markets - insurance, capital market and private pensions, as follows:

A)  Regulation

Rule amending Art. 13 para. (12) of the A.S.F. Rule no. 20/2017 on motor insurance in Romania (the rule will be sent to the Official Gazette of Romania for publication).

B) Authorisation

Approval of the request of SSIF Finaco Securities S.A. to authorize as members of the Board of Directors Mr. Paul Dan-Viorel, Mr. Goldberger Ioan-Nicolae and Mr. Iacob Cristian-Gheorghe, following the reconfirmation of their mandates;

Approval of Mrs Monica Spătaru for a new mandate as Vice-Chairman of the Board of Directors of Grawe România Asigurare S.A.;

Approval of Mr Cristian Voicu for a new mandate as member of the Board of Directors, at Grawe România Asigurare S.A.;

Approval of the request of the Investment Management Company Patria Asset Management S.A. to authorize the amendments to the documents of the Bet Patria-Tradeville ETF Open-ended Investment Fund and to approve the increase of the holding limit to a maximum of 35% for a single issuer;

Approval of the portfolio transfer from Signal Iduna Asigurări de Viață S.A. to Signal Iduna Asigurare Reasigurare S.A., approval of the merger by absorption, as well as approval of the amendment of the Articles of Association of Signal Iduna Asigurare Reasigurare S.A. as a result of the share capital increase and approval of the withdrawal of the operating licence of Signal Iduna Asigurări de Viață S.A., resulting from the merger by absorption;

Approval of the reduction of the share capital of the company Asigurarea Românească - Asirom Vienna Insurance Group S.A.;

Approval of the request for authorization to amend the Articles of Incorporation of Aegon Pensii - Societate de Administrare a Fondurilor de Pensii Private S.A., as a result of the change in the company's shareholders;

Approval of the request for final approval of the amendment to the Prospectus of the voluntary pension scheme for the Stabil Facultative Pension Fund, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request for authorisation to amend the contract for the deposit of assets of the NN Activ Optional Pension Fund, managed by NN Asigurări de Viață S.A.;

Approval of the request for authorisation to amend the contract for the deposit of assets of the NN Optim Optional Pension Fund, managed by NN Asigurări de Viață S.A.
