Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 29 March 2023 – During today’s meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-bank financial markets - insurance, capital market and private pensions, as follows:

A)  Regulation

Regulation on the submission of information to the Authorisation Portal by investment management companies and alternative investment fund managers and for the amendment of ASF’s Regulation no. 9/2014 on the authorisation and operation of investment management companies, undertakings for collective investment in transferable securities and depositories of undertakings for collective investment in transferable securities (the Regulation will be sent for publication to the Official Journal of Romania);

Regulation amending ASF Regulation no. 10/2022 on the Investor Compensation Fund (the regulation will be sent for publication to the Official Journal of Romania).

B)  Authorisation

Authorisation of Mr. Dascăl Sergiu Dan as Manager of BT Asset Management S.A.I. S.A.;

Approval of Mrs. Adriana-Mihaela Matache for a new mandate as member of the Board of Directors of Allianz-Tiriac Unit Asigurări S.A.;

Approval of Mr. Aurel Badea for a new mandate as member of the Board of Directors of Allianz-Țiriac Unit Asigurări S.A.;

Approval of Mrs. Gavrilă Ștefania as executive officer and approval of the amendment of the Articles of Incorporation of Westaco Broker de Asigurare S.R.L. following the update of the identity data of the company's director;

Approval of the issuance of the Registration Certificate of the share capital increase of Oil Terminal S.A. Constanța and adoption of the single blocking precautionary measure for the transfer of the shares with which the share capital was increased, starting from the date of their registration with Depozitarul Central;

Approval of the amendments to the Articles of Incorporation of Fly Insurance - Broker de Asigurare Reasigurare S.R.L. concerning the increase of the share capital by co-opting a new significant direct shareholder and modification of the company's shareholding structure;

Approval of the request to authorise the amendment of the Articles of Incorporation of Raiffeisen Asset Management S.A.;

Approval of the request to authorise the amendment of the Investment Policy Statement for the Voluntary Pension Fund NN Activ managed by NN Asigurări de Viață S.A.;

Approval of the request to authorise the amendment of the Investment Policy Statement for the Voluntary Pension Fund NN Optim, managed by NN Asigurări de Viață S.A.;

Approval of the request to authorise the amendment of the Investment Policy Statement for the Voluntary Pension Fund Stabil, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Approval of the request to authorise the amendment of the Investment Policy Statement for the Voluntary Pension Fund Raiffeisen Acumulare, managed by S.A.I. Raiffeisen Asset Management S.A.
