Bucharest, 8 December 2021 – During today's meeting, the Board of the Financial Supervisory Authority (ASF) adopted measures on the operation of the supervised non-bank financial markets - insurance, capital market and private pensions, as follows:
Draft Regulation amending the Regulation of the Financial Supervisory Authority no. 5/2018 on issuers of financial instruments and market operations, with subsequent amendments and supplementations (the draft will be published on www.asfromania.ro for public consultation for 10 days);
Regulation amending and supplementing the Regulation of the Financial Supervisory Authority no. 16/2014 on the revenues of the Financial Supervisory Authority (the Regulation will be sent for publication to the Official Gazette of Romania);
Draft Rule for the application of ESMA's Guidance on advertising communications under Regulation (EU) 2019/1156 of the European Parliament and of the Council of 20 June 2019 on facilitating the cross-border distribution of collective investment undertakings and amending Regulations (EU) no. 345/2013, (EU) no. 346/2013 and (EU) no. 1286/2014 (the draft will be published on www.asfromania.ro for public consultation for 10 days);
Rule on guarantee insurance (the rule will be sent to the Official Gazette for publication).
Authorization of Mr. Moroianu Nicolae as a member of the Board of Directors of SSIF Swiss Capital S.A.;
Authorization of Mr. Gabriel Purice as General Manager of SSIF Bursa Română de Mărfuri S.A. (Romanian Commodities Exchange);
Authorization of Mr. Ibrahim Tankut Eren as a member of the Board of Directors of Aegon Pensii Societate de Administrare a Fondurilor de Pensii Private S.A.;
Approval of the Regulation of Organization and Operation of Bursa de Valori București S.A.;
Approval of the extension by 2 years of the maximum audit period of 5 consecutive years by the current financial auditor Mazars Romania S.R.L. of the financial statements of S.A.I. Swiss Capital Asset Management S.A. for the years 2022 and 2023;
Approval of Roca Management S.R.L.'s application for the registration as an Alternative Investment Fund Manager (A.F.I.A.) and entry in the A.S.F. Register as a registered A.F.I.A.;
Approval of the EU growth prospectus for the initial public offering of shares issued by ABN Systems International S.A. Bucharest, to be carried out for the admission to trading of the shares on the Multilateral Trading System administered by Bursa de Valori București S.A.;
Approval of the withdrawal from trading of the shares issued by Electroputere S.A. Craiova and delisting from the A.S.F. records, in view of the completion of the shareholder withdrawal procedure in accordance with Article 44 of Law no. 24/2017;
Application of the exception to the reporting obligation under art. 9 paragraph (9) of Regulation (EU) no. 648/2012 (EMIR) for OTC derivative contracts concluded intra-group by Leoni Wiring Systems Arad S.R.L., Leoni Wiring Systems Pitești S.R.L. and Leoni Wiring Systems RO S.R.L. with Leoni AG;
Approval of Allianz Holding eins GmbH as a significant direct shareholder in Allianz - Țiriac Asigurări S.A.;
Approval of the amendment of the Articles of Incorporation following the increase of the share capital of German Romanian Assurance S.A.;
Approval of the amendments to the Articles of Incorporation of Maxygo Broker de Asigurare S.R.L. concerning the addition of the secondary activity.
