Decisions adopted by the Financial Supervisory Authority’s Board - 24.04.2018

 

Bucharest, April 24th, 2018 – During today’s meeting, the Financial Supervisory Authority’s Board (ASF) has approved some measures with regard to the operating framework of non-banking financial markets supervised – insurance, capital market and private pensions, among which:

 

A)          Regulation

The draft Regulation completing Regulation no. 16/2014 regarding the revenues of the Financial Supervisory Authority and the draft of the Rule for the amendment and completion of some normative acts (the two normative acts will be submitted for publication to the Official Gazette of Romania);

The Draft Regulation amending the ASF Regulation no. 9/2015 on the procedure of settlement by the entities regulated and supervised by the ASF based on Law no. 297/2004 regarding the capital market and Law no. 74/2015 regarding alternative investment fund managers of petitions related to their activity on the capital market (the Regulation will be submitted for publication to the Official Gazette of Romania).

 

B)          Supervision

The results of the periodic inspection carried out in Proximus Broker de Asigurări S.R.L.;

The results of the unexpected inspection carried out in Unity Broker de Asigurare Reasigurare S.R.L.;

The results of the periodic inspection carried out in Allianz-Ţiriac Pensii Private - Societate de Administrare a Fondurilor de Pensii Private, as manager of FPAP AZT Viitorul Tău, FPF AZT Moderato and FPF AZT Vivace;

Rejection of previous complaints against certain ASF decisions.

C)           Authorization – Licensing

Appointment of Mr. Cristian – Eduard Ionescu as Chairman of the Board of Directors of the company Asigurarea Românească - Asirom Vienna Insurance Group S.A.;

Appointment of Mr. Drădici Daniel as as executive director of the company 5 MM Broker de Asigurare S.R.L.;

Amendment of the Articles of Incorporation of Mustang Broker de Asigurare - Reasigurare S.R.L. (sole shareholder);

Amendments to the documents of the Open-end Funds Carpatica Obligațiuni, Carpatica Global and Carpatica Stock, managed by SAI Patria Asset Management S.A., following the application of the provisions of the EU Regulation no. 2015/2365;;

Prospectus prepared for admission to trading on the regulated market managed by the BSE of the bonds issued by the City of Bucharest, as well as issuance of the Securities Registration Certificate related to these bonds;

Prospectus proportionate to the issue of shares in order to increase the share capital of an issuer;

Issuance of the Securities Registration Certificate related to the registration of bonds issued by Globalworth Real Estate Investments Limited Guernsey for admission to trading on the BSE;

Issuance of the Securities Registration Certificate regarding the registration of the share capital increase of Natura Quattuor Energia Holdings S.A. Bucharest;

Issuance of the Securities Registration Certificate regarding the registration of the share capital increase of Chimcomplex S.A. BorzeștI;

Issuance of Securities Registration Certificates for the structured products of  SSIF BRK Financial Group S.A.;

Amendment of the Deposit Agreement regarding the assets of the Voluntary Pension Fund Stabil managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.;

Amendment of the Deposit Agreement regarding the assets of the Voluntary Pension Fund Aripi, managed by Generali Societate de Administrare a Fondurilor de Pensii Private S.A.

D)          Miscellaneous

The Activity Report and Financial Statements of the Policyholders Guarantee Fund (FGA) for 2017;

The Activity Report and Financial Statements of the Private Pension System Rights Guarantee Fund (FGDSPP) for the year 2017.
